Terms and Conditions of Service

These Terms and Conditions of Service ("Terms") govern your access to and use of TernaryPay, applying the same shared rulebook equally to every user. Please read them carefully before using the service.

Quick summary

  • The buyer’s money is held at a licensed payment provider — TernaryPay does not hold your money itself.
  • Funds are released to the seller when the buyer confirms receipt, or automatically within 3 days after the goods are delivered to the buyer.
  • A platform fee of 3% per transaction is deducted from the amount released to the seller.
  • Full dispute/return/refund flows are under development; in the meantime, contact the team for case-by-case support.

1. Acceptance of terms

  • By accessing or using TernaryPay, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced herein.
  • If you do not accept these Terms, please stop using the service.

2. Definitions

  • "Service" means TernaryPay’s escrow-style payment-holding platform, including its website and related tools.
  • "Payment Service Provider (PSP)" means the licensed provider that actually holds, escrows, and pays out funds.
  • "Seller" means a user who creates payment links and sells goods/services; "Buyer" means a user who pays through such a link.
  • "Holding funds" means the buyer’s money is held at the PSP until the release conditions in these Terms are met.

3. What TernaryPay is (and is not)

  • TernaryPay is a software intermediary that "holds" payments to make online trade fair for both buyers and sellers.
  • ⛔ TernaryPay never holds your money. Every baht is held, escrowed, and paid out by a licensed payment service provider (PSP). TernaryPay only sends the "instructions" to release or refund funds according to the rules.
  • TernaryPay is not a bank, not an e-wallet, and not a product marketplace.

4. Registration and accounts

  • Sellers must register and may be required to complete identity verification through the payment provider. Buyers are not required to create an account.
  • You are responsible for keeping your password and account details confidential, and for all activity under your account.
  • Information you provide to TernaryPay must be accurate, complete, and current.

5. Prohibited goods and conduct

  • You may not use the service for any unlawful, fraudulent, money-laundering, or rights-infringing purpose.
  • You may not sell goods or services that are illegal or prohibited under Thai law.
  • You may not provide false information, falsify evidence, or act to circumvent the shared rulebook.

6. Orders and payment

  • Buyers must pay first before an order proceeds. The amount shown on the payment page is the amount payable.
  • Payments are processed through a licensed payment provider; funds do not pass through TernaryPay’s accounts.
  • The service supports escrow (held) payments by default.

7. How funds are held and released

  • When the buyer pays, the funds are held at the payment provider (status "Funds held") and not yet transferred to the seller.
  • The seller ships the goods and enters the tracking number (status "Shipped").
  • When the buyer receives the goods and confirms receipt, the system instructs the provider to release the funds to the seller (less the platform fee).
  • If the buyer does not confirm within 3 days after the goods are delivered, the system releases the funds to the seller automatically, to be fair to the seller and prevent funds being withheld.
  • Every change to the status of funds is logged and can always be audited.

8. Order cancellation

  • Before payment, the buyer may cancel an order at any time.
  • After payment but before the seller ships, if both parties agree to cancel, a refund may be requested by contacting the team (while automated cancellation/refund is under development).
  • Once the seller has shipped, cancellation is subject to the returns and refunds rules in Section 9.

9. Returns and refunds

  • If goods do not match their description, are damaged, or are not received, the buyer may report the issue with evidence within the specified time window for review under the shared rulebook.
  • Full self-service dispute, return, and refund flows are currently under development (a later phase). In the meantime, TernaryPay will help coordinate and assess cases individually based on both parties’ evidence.
  • All refunds are processed solely through the payment provider.

10. Shipping

  • Sellers are responsible for shipping the goods and entering an accurate tracking number within a reasonable time.
  • Delivery timelines and responsibilities depend on the seller and the relevant courier.

11. Platform fee

  • TernaryPay charges a per-transaction fee at the rate shown on the payment page (currently 3% of the transaction amount), deducted from the amount released to the seller.
  • The fee rate may change; any change will be announced in advance on this page.

12. User responsibilities

  • Seller: ship goods as advertised, provide accurate product and price information, and do not sell illegal goods.
  • Buyer: pay through the system before receiving the goods, and inspect and confirm receipt once the goods actually arrive.

13. Early-stage service limitations

  • The service is currently in an early stage and supports the standard trade path (pay → hold → ship → release).
  • Full dispute, return, and refund flows are under development and will be enabled in a later phase.
  • During testing, some payments may be simulated (the live payment provider is not yet connected).

14. Personal data (PDPA)

  • TernaryPay collects only the data necessary to provide the service, such as the buyer contact used to follow up on an order.
  • Steps involving sensitive data, such as seller identity verification, are handled through the licensed payment provider’s systems.

15. Intellectual property

  • TernaryPay’s trademarks, logos, and content are the property of TernaryPay and may not be used without prior written permission.
  • For content uploaded by sellers (such as product images and descriptions), the seller warrants that it has the lawful right to use it.

16. Suspension and termination

  • TernaryPay may suspend or terminate service to any user who breaches these Terms, uses the service fraudulently, or poses a risk to other users.
  • Suspension does not affect pending orders, which will continue to be handled under the shared rulebook.

17. Disclaimers and limitation of liability

  • TernaryPay acts as a software intermediary, is not a party to the sale, and does not guarantee the quality, safety, or legality of a seller’s goods.
  • To the extent permitted by law, TernaryPay is not liable for indirect or consequential damages arising from use of the service.

18. Governing law and disputes

  • These Terms are governed by and construed under the laws of Thailand.
  • For any dispute, the parties shall first attempt to negotiate in good faith; failing which, the matter shall be subject to the jurisdiction of the Thai courts.

19. Changes to these terms

  • TernaryPay may update these Terms from time to time and will post the updated version on this page with the last-updated date.
  • Continued use of the service after an update constitutes acceptance of the updated Terms.
